| The GEIE-TMB, a single management company |

The Gruppo Europeo di Interesse Economico del Traforo del Monte Bianco
(GEIE-TMB) is a legal entity under EU law set up on the initiative of the two concessionary
companies of the Tunnel, the French ATMB
(Autoroutes et Tunnel du Mont Blanc s.a.) and the Italian SITMB (Società Italiana per il
Traforo del Monte Bianco S.p.A.), for the purpose of guaranteeing the unitary maintenance
and management of the Tunnel. The company has been entered onto the Companies Register of
Aosta, has its registered office in Courmayeur, at the Italian tunnel entrance apron, and
it has a well established organization on French soil.
After the fire of 24 March 1999, the GEIE-TMB carried out coordination and checking activities
during the works on restoration and modernization of the tunnel, in order to ensure that the work
was being carried out in totally unified way, particularly with regard to the installation and
operation of the safety systems. |

In the months leading up to tunnel being reopened to traffic, it had
the job of organizing and training its operating staff, including the use of suitable
"mock-up" management tests.
Since 9th March 2002 it has been responsible for all the activities connected with the
operational management of the Tunnel and of the two areas for the regulation of heavy
vehicle traffic situated at Aosta (I) and Passy-Le Fayet (F), it has collected the tolls,
has been involved in all the projects relating to safety, and has commissioned all the
maintenance works, major repairs and improvements to the infrastructure and the technical
equipping of the tunnel. |

| Organization |

The GEIE-TMB is governed by a Supervisory Board made up of 10 members, including the
Chairman, named jointly by the two concessionary Companies ATMB
and SITMB. The chairman is designated alternately every 30 months by the French or the Italian concessionary.
The Intergovernmental Control Commission that oversees it, also through its technical consultancy
body, the Safety Committee, establishes the general principles to be followed and decides the
management policies, in agreement with the Ministers for Infrastructure of Italy and France.

The management and administration of the GEIE-TMB is entrusted to a Management Committee consisting
of two Directors, nominated respectively by the ATMB
and the SITMB, and a Managing Director nominated alternately every 30 months by the
concessionary that does not nominate the Chairman of the Supervisory Board.

The organization of the operating service of the GEIE-TMB is divided into five areas of activity:
management functional services (19 units)
administrative and financial department (11 units)
customers and toll department (43 units)
safety and traffic department (72 units)

| Management Functional Services |
| |
The “Human Resources” service that is responsible for all matters regarding organisation of the work, employment procedures and internal mobility, trade union relations etc., is directly connected to the Management Committee.

|
Among the Management Functional Services, besides those of "Secretariat and Assistance to the Management Committee”, a specific role is assigned to the “Communication” service, responsible for public relations, to carry out promotional activities and maintain relations with the information services and with public and private bodies that request to visit the Tunnel and its installations. In fact, the technological innovations introduced to improve safety are of great interest to many observers.

Another important activity to support the Management Committee is carried out by the "Prevention and Quality” service. The main target is to achieve unitary management of the workers’ safety on the work sites, harmonising standards that are different for Italian and French workers.
This service is also the centre of the Tunnel area environment condition monitoring activities. The data related to the quality of the air are supplied by Air de l’Ain e des Pays de Savoie (AIR-APS) for the French side, and by the Agenzia Regionale per la Protezione dell’Ambiente (ARPA) ( Regional Agency for Environment Protection) on the Italian side. Noise data is provided by Centre d’Etudes Techniques de l’Equipement (CETE) and by ARPA respectively . |

| Administrative and Financial Department |

This manages the accounts, draws up the balance sheet and
carries out all the operations of an administrative, financial and fiscal nature that
GEIE-TMB is responsible for. |

| Customers and Toll Department |
| |
This is responsible for customer relations and organizes the toll collection
service at the two entrances to the tunnel. One of the tasks the toll staff is
responsible for, in the event of an accident in the tunnel, is to provide support
in receiving the public emergency services and evacuating people not directly
involved in the incident. It is also the toll staff’s job to give the user the
leaflet containing the regulations for traffic inside the Tunnel, paying particular
attention to the speed limits and the safety distance between vehicles, and to
provide them with all useful information. |

| Safety and Traffic Department |

|
This is in charge of all activities concerned with traffic control and the maintenance
of safety, both under normal conditions and if there should be an incident. |
|
Through the Safety and Traffic Operators it manages the two
Command and Control Posts (CCP), north and south, that operate in tandem, one for control,
the other for traffic information; by means of the Safety and Traffic Teams (EST) it controls
and guarantees correct application of the traffic regulations 24 hours a day, using special
vehicles fitted with first intervention equipment in the event of a vehicle accident or
breakdown inside the tunnel. The EST are also responsible for the exceptional transit escort
service. |

The AST, Safety and Traffic Assistants, out at the heavy vehicle regulation
areas of Aosta (I) and Passy-Le Fayet (F), check the pollution class and vehicle dimensions,
and give out the Tunnel access passes. |

Among the company activities of the Safety and Traffic Department, a special place is given to
organizing and managing safety drills that are carried out every three months to test the
efficiency of the technical systems, the reactions of staff who control and manage equipment,
and the coordination of intervention by the Vigili del Fuoco, the Sapeurs Pompiers, the Binational
Police Service and the public emergency medical service.

| Technical and Computing Department |

|
The technicians and operators of this department ensure proper working of the
infrastructure, the technological systems, the telecommunications and the various
computer devices, they look after their maintenance and take action if there is a fault. |

| The immediate intervention teams |
| |
|
|
An integral part of the safety service is the constant presence at three posts
(two external ones, and an internal one at the centre of the tunnel) of professionals who are
highly qualified in firefighting intervention in a confined space. These have at their
disposal purpose-built special vehicles and equipment; they share common areas with the
operational staff of the Tunnel and work in close coordination with them. |

| The Binational Police Service |
| |

The Binational Police Service, that consists of members of the Polizia
di Stato (Italy) and the Gendarmerie Nationale (France), and has operational rooms at the two
tunnel entrance aprons, is in charge of checking that the traffic regulations are being
observed. To make sure this task is properly carried out there are mixed patrols, each
consisting of an Agente di Polizia and a Gendarme, that provide a tunnel patrol service;
and this rounds off the safety arrangements. |
